Terms of Service

1. Acceptance of these terms

These Terms are an agreement between you and Wedgr Technologies (UEN 53532707B), a business registered in Singapore that operates ZeroParse Statements (“we,” “us,” or “our”). By creating an account or using ZeroParse Statements (“the Service”), you agree to these Terms of Service and our Privacy Policy. If you're using the Service on behalf of an accounting firm or other organization, see our Data Processing Addendum as well. If you don't agree, don't use the Service.

2. What the Service does

ZeroParse Statements converts bank and credit card statements (CSV, Excel, and PDF) into standardized, exportable transaction data. CSV and Excel files are parsed entirely in your browser and never uploaded to our servers. PDF files are uploaded for server-side text extraction/OCR, processed in memory, and discarded immediately after processing — see our Privacy Policy for details. The one exception is a file you deliberately attach to a support request while signed in, which is stored rather than discarded, subject to explicit consent — see Privacy Policy Section 3a.

3. Accounts

• You must provide an accurate email address and keep your password secure.
• You're responsible for all activity under your account.
• One account per person. Accounts may not be shared or resold.
• You may delete your account at any time from the Account page.

4. Credits & billing

• CSV and Excel parsing is free on every plan and consumes no credits.
• PDF processing consumes credits (1 credit per page). New accounts start with 50 free credits.
• Credit Pack purchases are one-time and non-expiring.
• Pro subscriptions (monthly or annual) auto-renew and refresh your credit balance each cycle until cancelled.
• All payments are processed by Stripe; we never see or store your card details.
• You can cancel or change your plan anytime from Account → Manage billing.
• Service limits apply to uploads (file size, page count, and row count). Current limits are listed on our Help page.

5. Refunds

• Subscriptions: email admin@getzeroparse.com within 14 days of a charge and we'll refund it in full. Cancelling stops future charges but does not by itself refund the current period — ask us and we'll sort it.
• Credit Packs: we refund the unused portion, pro-rated against credits you haven't spent.
• When a refund is issued, the corresponding credits are removed from your balance automatically. If you've already spent them your balance goes to zero rather than negative — we don't claw back work you've already done.
• Refunds return to your original payment method, typically within 5–10 business days depending on your bank.
• We may decline refunds where an account shows clear abuse — for example bulk-processing on a refunded plan, or repeated purchase-and-refund cycles.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or to process data you don't have the right to process.
• Attempt to bypass credit limits, rate limits, or account security controls.
• Reverse-engineer, scrape, or resell access to the Service without our written permission.
• Upload files designed to exploit or disrupt our systems.
• Attach a file to a support request that isn't the actual file the problem concerns — for example, an unrelated document, or someone else's statement.

7. Accuracy & financial verification disclaimer

Statement extraction (both CSV/Excel column mapping and PDF OCR) is best-effort. Bank statement formats vary too much to guarantee perfect extraction. You're responsible for reviewing exported data — every upload lands in an editable table before export specifically so you can verify and correct it.

ZeroParse Statements output is not certified tax, accounting, or audit advice, and is not a substitute for professional judgment. We are not a licensed accounting, tax, or audit firm, and nothing produced by the Service has been reviewed or certified by one. You assume full and sole responsibility for reviewing, verifying, and correcting any exported data before relying on it for a tax filing, audit, financial statement, or any other official or client-facing purpose. This applies whether you are a firm processing your own records or a CPA/bookkeeper processing a client's.

8. Service provided “as is”

The Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that extraction will be uninterrupted, error-free, or accurate for any particular statement format.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Wedgr Technologies, its owners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

In no event shall our total aggregate liability for all claims arising out of or relating to the Service exceed the lesser of: (a) the total amount you paid Wedgr Technologiesin the twelve (12) months immediately preceding the claim, or (b) SGD $100.00. This cap applies regardless of the number of claims and is a fundamental basis of the bargain between you and us — without it, we could not offer the Service at these prices.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud, as required by Singapore law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wedgr Technologies, its owners, and its core infrastructure providers from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• your use of and access to the Service;
• your violation of any term of these Terms;
• your violation of any third-party right, including without limitation any right of privacy, confidentiality, or intellectual property; or
• any claim that the documents or statements you uploaded caused damage to a third party.

11. Governing law & jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the Courts of Singapore.

You expressly waive any right to bring any action, lawsuit, or proceeding as a class or collective action. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed on an individual basis before the Courts of Singapore, and the rest of this section remains in effect.

12. Termination

We may suspend or terminate accounts that violate these terms, including abusive use of credits or attempts to circumvent security controls. You may stop using the Service and delete your account at any time.

13. Changes to these terms

We may update these terms from time to time. Material changes will be reflected by updating the effective date above. Continued use of the Service after a change means you accept the updated terms.
